Welcome to ALKIVE. These Terms & Conditions ("Terms") govern your access to and use of the ALKIVE POS (point-of-sale) System platform ("Service"), operated by ALKIVE SDN. BHD. ("we", "us", "our").
By registering for an account, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Account Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including activity by staff, cashiers, or other users you grant access to. You must notify us immediately of any unauthorized use of your account.
2. Subscription & Billing
Access to the Service is provided on a subscription basis according to the plan you select at registration. Fees are billed in advance on a weekly, monthly or annual cycle as chosen. Prices are subject to change with 30 days' notice. Failure to pay on time is subject to the Late Payment Policy in Section 4.
3. No Refund Policy
All subscription fees are non-refundable, except where a refund is required by applicable law. This includes the following situations:
•Stopping use of the Service: If you stop using the Service, cancel your subscription, or close your account at any time, whether suddenly or not, you are not entitled to a refund for the current billing period, any unused time, or any period already paid for. Cancelling your subscription stops future billing only.
•Upgrading your plan or billing cycle before your next due date: If you upgrade, any unused time on your current plan may be applied only as a credit towards the price of your new plan. This credit is not a cash refund and cannot be withdrawn or transferred.
•Downgrading your plan before your next due date: If you downgrade, no refund, credit or compensation is given for the difference in price or for unused features or time. Your billing date stays the same unless we tell you otherwise.
•Non-use: No refund is given if you do not use the Service or any feature of it during a paid period.
We encourage you to use any available trial or Free plan to evaluate the Service before subscribing to a paid plan.
4. Late Payment Policy
•Due date: Your subscription fee is due on the due date shown in your account.
•Late fee: If payment is not received by the due date, a late payment fee of RM5.00 per day is charged for every day the payment is overdue, until the full amount is paid.
•Deactivation: If no payment is received within 14 days after the due date, your account will be deactivated, and you and your staff will no longer be able to log in or use the Service.
•Reactivation: To reactivate a deactivated account, you must pay the overdue subscription fee together with all accrued late fees. Your Data is retained in accordance with Section 13 (Termination & Data Export).
•Payment date: Payment is treated as received on the date your payment is approved in the system, not the date you submit your receipt.
5. Acceptable Use
You agree not to use the Service to:
•Violate any applicable law or regulation
•Process transactions you know to be fraudulent
•Attempt to gain unauthorized access to other accounts or our systems
•Reverse-engineer, resell, or sublicense the Service without written permission
•Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests
6. Data Ownership
You retain ownership of all business, customer, and transaction data you input into the Service ("Your Data"). We do not claim ownership over Your Data. We do not sell, rent, or trade Your Data to any third party. Your Data is used solely to operate the Service for ALKIVE and is not repurposed for any other business, product, or third party. See our Privacy Policy for how we process and protect it.
7. Payments, Sales Records & Compliance
You are solely responsible for the accuracy of prices, taxes, discounts, and totals you configure in the Service, and for ensuring your use of the Service complies with applicable tax, consumer protection, and invoicing laws in your jurisdiction, including any e-invoicing obligations issued by the Inland Revenue Board of Malaysia (LHDN) or other relevant authorities. The Service is a tool to help you record and manage transactions; it does not constitute tax, accounting, or legal advice, and we are not responsible for your compliance obligations toward tax authorities, customers, or regulators.
8. Third-Party Payment Processing
If you connect a third-party payment gateway or processor to the Service, that provider's own terms, fees, and privacy practices apply to funds processed through them. We are not a party to the relationship between you and your payment processor and are not responsible for chargebacks, disputes, settlement delays, or processor outages.
9. Hardware & Peripherals
The Service may be used with third-party hardware (receipt printers, barcode scanners, cash drawers, card terminals, etc.). We do not warrant compatibility with any specific hardware and are not responsible for hardware malfunction, loss of sale data due to hardware failure, or printing errors.
10. Offline Use & Data Synchronization
Where the Service supports offline or intermittent-connectivity operation, transactions recorded offline are queued locally and synced once connectivity is restored. You are responsible for ensuring devices are reconnected in a timely manner. We are not liable for data loss resulting from a device being reset, uninstalled, or permanently disconnected before syncing.
11. Service Availability
We aim to maintain high uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Because the Service may be used for real-time, business-critical sales operations, we recommend maintaining your own backup processes for critical transactions during any planned downtime.
12. Intellectual Property
The Service, including its software, design, and underlying technology, is owned by us and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations. No other rights are granted.
13. Termination & Data Export
We may suspend or terminate your account for breach of these Terms, non-payment (including deactivation under the Late Payment Policy), or fraudulent activity. You may cancel your subscription at any time. Upon termination, you may request an export of Your Data within [30] days; after this period, Your Data may be permanently deleted in accordance with our data retention practices, subject to any legal retention requirements described in our Privacy Policy.
14. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including loss of profits, revenue, business, or data, except where caused by our gross negligence or willful misconduct. Our total liability for any claim arising from the Service is limited to the fees you paid us in the 12 months preceding the claim.
15. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, internet or power outages, third-party service failures, or government action.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.
